Honeybee Logic — Software Terms of Use (Individual Accounts)

Version: July 2026. For individual (B2C) users who sign up for any Honeybee Logic product. Organizational customers under a Master Services Agreement are governed by that agreement instead — see section 1.3.

These Software Terms of Use ("Terms") are an agreement between you and Honeybee Logic Inc. ("Honeybee Logic," "we," "us"), a company registered in Alberta, Canada. They govern your individual use of the software products we make available for individual signup — including Honeybee Logic products accessible at honeybeetoolkit.com and any other products that link to these Terms (the "Services"). By creating an account, subscribing, or using any of the Services, you accept these Terms. If a specific product has supplemental terms, we will present them where you sign up for that product, and they apply in addition to these Terms.

1. Your account

1.1 You must be at least 18 years old (or the age of majority where you live) to create an account. The Services are designed for teachers and educators — not for students.

1.2 Keep your login credentials secure. You are responsible for activity under your account.

1.3 If your school or organization has an agreement with us. If you use the Services under an account provisioned or paid for by a school authority or other organization that has a Master Services Agreement (or similar) with us, that agreement governs your use and prevails over these Terms wherever they conflict, and that organization — not you personally — is our customer for data-privacy purposes.

2. Subscriptions, billing, and cancellation

2.1 Prices, plans, and any free tier or trial are described on the relevant product's website at the time you subscribe. Prices include applicable taxes where the law requires; otherwise taxes are added at checkout.

2.2 Paid plans renew automatically at the end of each billing period unless you cancel first. We will send a reminder before renewal where required by law. You can cancel anytime in your account settings; cancellation takes effect at the end of the current billing period.

2.3 Except where a refund is required by applicable consumer law (including cooling-off rights in some jurisdictions), fees are non-refundable. If we discontinue a Service you have prepaid for, we will refund the unused portion.

2.4 We may change prices with at least 30 days' notice, effective at your next renewal.

3. What you can and cannot do

3.1 We grant you a personal, non-transferable right to use the Services for your own teaching and professional work while your account is in good standing.

3.2 You may not: share or resell your account; use the Services to break the law or infringe others' rights; upload malicious code or attempt to disrupt or reverse-engineer the Services; use the Services to build a competing product; or scrape or bulk-extract content from the Services.

3.3 Do not enter information that identifies your students. The Services do not need student names or identities to work. When customizing content for a learner, describe needs in general terms (e.g., "a grade 4 student reading below grade level") — do not enter names, student ID numbers, contact details, health diagnoses, or other identifying information. Section 5 explains how we handle what you enter. If your school wants student-level features, that requires an organizational agreement with a Data Privacy Agreement — contact sales@honeybeelogic.com.

4. Your content and AI-generated content

4.1 Your content stays yours. You own the prompts, materials, and other content you submit ("Your Content"). You grant us the license we need to operate the Services — to host, process, display, and transmit Your Content to provide features you use, including sending it to our AI providers to generate the output you request.

4.2 AI output. To the extent we hold any rights in output the Services generate for you, we assign them to you. You are responsible for reviewing output before using it: AI-generated content can be inaccurate, incomplete, or unsuitable, and you — the professional educator — decide what reaches your classroom.

4.3 The software stays ours. We and our licensors own the Services, including all software, models, templates, and branding. Nothing in these Terms transfers any of that to you.

4.4 We do not use Your Content to train AI models, except where you explicitly opt in to a feature that says otherwise.

5. Privacy

Our Privacy Policy explains what we collect and how we handle it, including how content you submit for AI features is processed. Highlights: we don't sell personal information, we don't use it for third-party advertising, and content you submit for AI features is sent to AI providers whose terms bar them from training their models on it, with retention limited as described in the Privacy Policy and our subprocessor list.

6. Availability and changes

6.1 We aim for high availability but the Services are provided without an uptime guarantee for individual accounts. We may modify or discontinue features; if we discontinue a paid Service, section 2.3 applies.

6.2 We may suspend or terminate accounts that violate these Terms. Where reasonable, we will warn you first and give you a chance to fix the problem. You can export your content for 60 days after your account closes, after which we may delete it.

6.3 Beta products and features. We may offer certain products or features labeled "Beta," "Preview," "Early Access," or a similar designation. These products are still in active development and are provided as-is with no uptime commitment — section 6.1 applies in full and no service-level commitment of any kind applies during a Beta period. Features, workflows, output quality, and pricing may change significantly before or at general availability. We may slow, pause, or discontinue a Beta product at any time on 14 days' notice by email; if you have prepaid for a Beta product we discontinue, section 2.3 applies to the unused portion. Feedback, bug reports, and suggestions you submit about Beta products may be used by us to improve our products; this does not affect section 4.4, which governs use of your AI-generated content. Participation in a Beta is voluntary — if you do not wish to continue under these terms, you may cancel at any time per section 2.2.

7. Disclaimers and liability

7.1 The Services are provided "as is." To the maximum extent permitted by law, we disclaim implied warranties, and our total liability to you for any claims arising out of the Services is limited to the amounts you paid us in the 12 months before the claim (or CAD $100 if you paid nothing).

7.2 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the law where you live, or affects consumer rights you have under that law.

8. General

8.1 These Terms are governed by the laws of Alberta and the federal laws of Canada, and disputes will be resolved in Alberta courts — except that if you are a consumer, you keep any right to sue or be sued where you live and any mandatory consumer protections of that place.

8.2 We may update these Terms. For material changes we will give at least 30 days' notice by email or in-app; continuing to use the Services after the effective date means you accept the updated Terms. If you don't accept, cancel before the change takes effect and section 2.3 applies to any prepaid, undelivered period.

8.3 If part of these Terms is unenforceable, the rest still applies. These Terms plus the Privacy Policy are the entire agreement between us for individual use of the Services.
