General Terms of Use

1. Introduction
Welcome to Honeybee Logic! These General Terms of Use ("Terms") govern your access to and use of Honeybeelogic.com, HoneybeeToolkit.com, and any other websites or web applications operated by Honeybee Logic Inc. (collectively, the "Site"). Honeybee Logic Inc. ("Honeybee Logic", "we", "us", or "our") is a company registered in Alberta, Canada.
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.
2. Applicability and Relationship to Other Agreements
These Terms apply to all visitors, users, and others who access or use the Site. For Honeybee Logic products and services provided to customers under specific agreements ("Contracted Services"), additional terms in the Main Services Agreement (MSA), Data Privacy Agreement (DPA), Support Policy and Service Level Agreement (SP&SLA), and Professional Services Policy may apply. In the event of any conflict between these Terms and the MSA or other service-specific agreements for Contracted Services, the terms of the MSA and service-specific agreements shall prevail.
3. Changes to Terms
We may revise these Terms from time to time. The most current version will always be posted on the Site. By continuing to access or use the Site after revisions become effective, you agree to be bound by the revised Terms. For material changes to these Terms, we will provide notice at least thirty (30) days in advance, consistent with our notification practices in our standard agreements.
4. Privacy Policy and Data Protection
Your use of the Site is also subject to our Privacy Policy and, for users of Contracted Services, the Data Privacy Agreement (DPA). These documents are incorporated by reference into these Terms. Please review our Privacy Policy and, if applicable, the DPA to understand our practices regarding the collection, use, and protection of your personal information.
5. Age Restrictions
The public portions of the Site are intended for users who are 13 years of age or older. For Contracted Services, age restrictions may vary based on the specific service and its intended use. Customers are responsible for ensuring appropriate consent and authorization for use of Contracted Services in accordance with applicable laws and organizational policies.
6. Account Registration and Security
Some features of the Site may require you to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding the password that you use to access the Site and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
7. Acceptable Use
You agree not to use the Site:
a) In any way that violates any applicable federal, provincial, local, or international law or regulation. b) To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation. c) To impersonate or attempt to impersonate Honeybee Logic, a Honeybee Logic employee, another user, or any other person or entity. d) To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by us, may harm Honeybee Logic or users of the Site or expose them to liability.For users of Contracted Services, additional restrictions and acceptable use terms may apply as outlined in the applicable service agreement.
8. Intellectual Property Rights
The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Honeybee Logic, its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:a) Your computer may temporarily store copies of such materials incidental to your accessing and viewing those materials. b) You may store files that are automatically cached by your Web browser for display enhancement purposes. c) You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution.For Contracted Services, the intellectual property terms in the applicable service agreement shall take precedence over these general terms.
9. Trademarks
The Honeybee Logic name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Honeybee Logic or its affiliates or licensors. You must not use such marks without the prior written permission of Honeybee Logic.
10. User Contributions
The Site may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features that allow users to post, submit, publish, display, or transmit content or materials ("User Contributions"). Any such User Contributions are posted at your own risk and you agree not to post any content that is unlawful, abusive, defamatory, or infringing on any third party's rights.
11. Monitoring and Enforcement
We have the right to:
a) Remove or refuse to post any User Contributions for any or no reason. b) Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion. c) Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights. d) Terminate or suspend your access to all or part of the Site for any or no reason.

If you believe that any User Contributions violate your copyright, please contact us using the information in the Contact section below. We will respond to notices of alleged copyright infringement that comply with applicable law.

If the Site contains links to other sites and resources provided by third parties, these links are provided for your convenience only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.
14. Third-Party Services and APIs
The Site and Contracted Services may incorporate or use third-party services, including but not limited to AI models and cloud infrastructure providers. When using such third-party services, we will ensure compliance with our privacy and security obligations as outlined in our agreements. However, we are not responsible for the performance, outputs, or potential errors of these third-party services.
15. Disclaimer of Warranties
Your use of the Site is at your own risk. The Site is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied. Honeybee Logic disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
16. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will Honeybee Logic, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Site, any websites linked to it, any content on the Site or such other websites, including any direct, indirect, special, incidental, consequential, or punitive damages.
For users of Contracted Services, the limitation of liability terms in the applicable service agreement shall apply and take precedence over these general terms.
17. Indemnification
You agree to defend, indemnify, and hold harmless Honeybee Logic, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.
For users of Contracted Services, the indemnification terms in the applicable service agreement shall apply and take precedence over these general terms.
18. Termination
We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease.
For users of Contracted Services, the termination terms in the applicable service agreement shall apply and take precedence over these general terms.
19. Data Retention and Disposal
For visitors to the public portions of the Site, we retain personal information only for as long as necessary to fulfill the purposes for which it was collected. For users of Contracted Services, data retention and disposal are governed by the terms outlined in the applicable service agreement and DPA.
20. Support and Professional Services
For users of Contracted Services, support services are provided in accordance with our Support Policy and Service Level Agreement (SP&SLA). Professional services, if applicable, are governed by our Professional Services Policy. These policies are incorporated by reference into these Terms for users of Contracted Services.
21. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of, or related to, them, their subject matter or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the courts of the Province of Alberta.
22. Waiver and Severability
No waiver by Honeybee Logic of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Honeybee Logic to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
23. Entire Agreement
These Terms, our Privacy Policy, and (where applicable) the Main Services Agreement, Data Privacy Agreement, Support Policy and Service Level Agreement, and Professional Services Policy constitute the sole and entire agreement between you and Honeybee Logic regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

Some of our services may be used by Customers in ways that involve the collection of information from children under In such cases, we comply with applicable Canadian laws regarding the protection of children's privacy, including obtaining necessary consents through our Customers.

While Customer Data is primarily stored in Canada, some data may be transferred to and processed in other countries. We ensure appropriate safeguards are in place for any international data transfers, such as using standard contractual clauses or ensuring the recipient country has adequate data protection laws.

SUPPORT POLICY AND SERVICE LEVEL AGREEMENT

1. Definitions
Capitalized terms not defined herein have the meanings assigned to them in the Main Services Agreement between Customer and Honeybee Logic to which this Support Policy and Service Level Agreement (the "Policies") are incorporated. In addition, for purposes of these Policies, the following definitions will apply:
1.1 "Errors" means a reproducible failure of the applicable Subscription Service to operate in substantial conformity with its standard Documentation, despite the proper installation and use of the Subscription Service in a proper operating environment and on hardware and system software sufficient to meet Honeybee Logic's then-current minimum requirements, which are subject to change as updates are released. User(s) mistakes are not Errors within the meaning of these Policies. Errors may be due to problems in the applicable Subscription Service, the Documentation, or both.1.2 "Fix" means a patch, service pack or corrective update of the applicable Subscription Service that Honeybee Logic may prepare in its discretion on an interim basis, prior to issuance of an Update, to correct programming Errors that prevent or obstruct normal operation of the Subscription Service in accordance with the applicable Documentation and developed by Honeybee Logic.1.3 "New Products" means new products, programs or modules offered by Honeybee Logic and are distinguished from Updates and Fixes. Updates and Fixes may include New Products that provide features, functions or applications not included in the applicable Subscription Service originally licensed by Customer and for which additional license fees apply as determined by Honeybee Logic to access. A New Product may be usable with or in addition to the applicable Subscription Service originally licensed by Customer. New Products will be licensed to Customer in accordance with the applicable Ordering Document under the terms of this Agreement.1.4 "Update" means an updated version of the applicable Subscription Service issued by Honeybee Logic, which may include Fixes, together with such other modifications, updates, enhancements, and improvements to the Subscription Service that Honeybee Logic may, in its discretion, develop and deem ready for distribution and that Honeybee Logic standardly provides to all customers with a current Support Services subscription to such Subscription Service.1.5 "Support Services" means the maintenance and support for the Subscription Services as purchased by Customer, as described in this document.1.6 "User" has the meaning set forth in the Honeybee Logic Main Services Agreement.
2. Support Term; Fees
Support Services are provided as part of Customer's purchased Subscription Service(s) listed on the Ordering Document. Support Services will continue for the duration of the Subscription Term for the applicable Subscription Service(s).
3. Support Services Scope
Honeybee Logic will provide Support Services for the Subscription Services. The scope of Support Services will be as follows:
3.1 Support. Support Services include: (a) Email support with a response time within two (2) business days; (b) Fixes, as developed and made generally available by Honeybee Logic, in its discretion, to address Errors that Customer is experiencing in using the applicable Subscription Service; and (c) Updates, as developed and made generally available by Honeybee Logic.Support Services do not include New Products. Honeybee Logic determines, in its sole discretion, what constitutes a New Product (for which additional license fees apply), and what improvements and enhancements to existing functionality of a Subscription Service(s) are to be included in an Update (and are therefore provided at no additional charge to customers with a current Subscription Service).3.2 Email Support. Email support is available 24 hours a day, 7 days a week. Honeybee Logic will respond to support requests within two (2) business days. Business days are Monday through Friday, excluding Honeybee Logic holidays.3.3 Custom Programs. For any custom programs developed for Customer by Honeybee Logic, whether standalone software or custom apps within Honeybee Logic's software products, Support Services are available only on a time and materials basis at Honeybee Logic's then-current rates and charges for these services; support for custom programs is not included in the standard Support Services. In addition, to the extent that the applicable Subscription Service includes any functionality that allows the user to customize screens or reports, Honeybee Logic will support the application infrastructure utilized to create such customizations but will not be responsible for supporting any such customizations.3.4 Exclusions. Support Services do not include: (a) On-site support; (b) Support for third-party software not provided by Honeybee Logic; (c) Support for Subscription Services that have been modified or altered by anyone other than Honeybee Logic; (d) Support for Errors caused by Customer's negligence, hardware malfunction, or other causes beyond the reasonable control of Honeybee Logic.
3.5 Prior Support Services. The Parties acknowledge that Honeybee Logic may have provided certain Support Services to Customer prior to the effective date of the Main Services Agreement ("Prior Support Services"). The Parties agree that all such Prior Support Services shall be deemed to have been performed pursuant to the terms and conditions of the Main Services Agreement and this Support Policy and Service Level Agreement, and that these documents shall apply retroactively to any and all Prior Support Services as if they had been in effect at the time such Prior Support Services were performed.
4. Support Service Level Agreement
4.1 Support Services Business Hours. Support Services for Honeybee Logic include email support during standard business hours. Standard business hours are Monday through Friday, 9:00 AM to 5:00 PM Mountain Time (MT), excluding Honeybee Logic holidays.
4.2 Service Level Targets. Honeybee Logic will make commercially reasonable efforts to respond to support requests within two (2) business days. If a support request is received outside of standard business hours, the two-business-day response time begins at the start of the next business day.4.3 Support Request Process. To receive Support Services, Customer must report the issue via email to [email protected]. Each support request should include a description of the issue, the Customer's contact information, and any relevant documentation or screenshots that may assist in resolving the issue.4.4 Resolution of Support Requests. While Honeybee Logic strives to resolve all support requests in a timely manner, no specific resolution time is guaranteed. The time required to resolve an issue may vary based on the nature and complexity of the reported problem.4.5 Support Exclusions. Honeybee Logic will make every effort to solve errors reported by Customer within a reasonable time frame. However, Honeybee Logic will not provide support (and Support Services will not include) the scenarios specified below:a) Customer or local education agency computer hardware and networking issues; b) Any systems, programs, or interfaces not developed and supplied by Honeybee Logic; c) Issues arising from misuse, improper use, alteration, or damage of the Subscription Service; d) Issues arising from Customer's failure to comply with the Documentation or Honeybee Logic's reasonable instructions; e) Issues arising from Customer's use of the Subscription Service with any hardware, software, or services not provided or approved by Honeybee Logic; f) Support for data import or export processes not explicitly provided by the Subscription Service; g) Custom report writing or custom interface development; h) Training on the use of the Subscription Service (beyond the scope of standard Support Services); i) Support for beta releases; j) Support for any version of the Subscription Service other than the most recent version, provided that Honeybee Logic shall continue to provide Support Services for the immediately preceding version of the Subscription Service for a period of twelve (12) months following the release of the most recent version; k) On-site support; l) Support outside of standard business hours.4.7 Additional Support Exclusions and Charges. Further, Honeybee Logic will not be responsible for providing Support Services for:a) Problems caused by Customer's use of or access to the applicable Subscription Service other than as intended; b) Any use in violation of this Agreement; c) Any unauthorized modifications made to the applicable Subscription Services by Customer or any third party.If Honeybee Logic provides Support Services that are determined by Honeybee Logic to be caused by Customer's or third party's actions, unauthorized use, or system changes, then Honeybee Logic may invoice Customer for the fees and expenses for such Support Services at Honeybee Logic's then-current rates, and Customer shall pay such invoice in accordance with the terms of the Agreement.4.8 Customer Responsibilities. Customer agrees to provide Honeybee Logic with all information and materials reasonably required for Honeybee Logic to provide Support Services. Customer acknowledges that Honeybee Logic's ability to provide satisfactory Support Services is dependent on Honeybee Logic having full and accurate information about the issue and Customer's implementation of the Subscription Service.4.9 Modifications and Updates. Honeybee Logic reserves the right to modify the Support Services and this Support Service Level Agreement at any time, provided that such modifications will not materially degrade the Support Services during the current Subscription Term.
5. Hosting Service Level Agreement
5.1 Hosting Services. Honeybee Logic provides hosting services for its Subscription Services using industry-standard practices and technologies. Honeybee Logic may use third-party cloud service providers to deliver these hosting services.
5.2 Service Availability. Honeybee Logic will use commercially reasonable efforts to make the Subscription Services available to Customer. However, Honeybee Logic does not guarantee any specific level of availability or uptime. The Subscription Services may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications.5.3 Scheduled Maintenance. Honeybee Logic may perform scheduled maintenance to the Subscription Services from time to time. Honeybee Logic will make reasonable efforts to provide Customer with at least two (2) days' advance notice of any scheduled maintenance that may result in service downtime. Such maintenance is excluded from calculations of Subscription Service availability.5.4 Backup and Data Recovery. Honeybee Logic performs regular backups of Customer Data as part of its standard operating procedures. However, Honeybee Logic does not guarantee the frequency, retention period, or successful restoration of data from these backups. Customer acknowledges that it is responsible for maintaining appropriate backups of its data outside of the Subscription Services.5.5 Disaster Recovery. In the event of a disaster or significant service disruption, Honeybee Logic will use commercially reasonable efforts to restore the Subscription Services within a reasonable time frame. Honeybee Logic does not guarantee any specific recovery time objective (RTO) or recovery point objective (RPO).5.6 Performance. While Honeybee Logic strives to provide optimal performance of the Subscription Services, Honeybee Logic does not commit to any specific performance metrics or degradation thresholds as part of this agreement.5.7 Force Majeure. Honeybee Logic shall not be liable for any failure or delay in performance under this Hosting Service Level Agreement to the extent such failure or delay is caused by factors beyond Honeybee Logic's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.5.8 Customer Responsibilities. Customer is responsible for maintaining the confidentiality of its account information and passwords. Customer agrees to notify Honeybee Logic promptly of any unauthorized access to or use of Customer's account.5.9 Modifications. Honeybee Logic reserves the right to modify the hosting services and this Hosting Service Level Agreement at any time, provided that such modifications will not materially degrade the Subscription Services during the current Subscription Term.
6. Data Handling in Support and Hosting Services
6.1. All data handling practices related to our Support and Hosting Services are governed by our Data Privacy Agreement (DPA) and Privacy Policy. These documents provide detailed information on data protection, processing, and security measures.
6.2. When providing support or hosting services, we ensure that all data handling aligns with the practices outlined in our DPA and Privacy Policy. This includes, but is not limited to, data access, storage, transfer, and disposal practices.
6.3. In the event of any inconsistency between this document and the DPA or Privacy Policy regarding data handling practices, the terms of the DPA shall prevail, followed by the Privacy Policy, and then the Policies in the present document.
